1. Agreement to Terms

By accessing or using the services provided by Apcell Infotech ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Apcell Infotech provides:

• Custom software development and web applications
• IT consulting and digital transformation services
• Cloud solutions and infrastructure management
• IT staffing and resource augmentation
• ERP and HRMS implementation
• Marketing and lead generation services

3. User Obligations

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Not engage in any activity that interferes with or disrupts our services
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and source code, are owned by Apcell Infotech and are protected by copyright, trademark, and other intellectual property laws.

Unless otherwise specified in a separate agreement, all deliverables created specifically for a client project shall be owned by the client upon full payment. Pre-existing intellectual property and reusable components remain the property of Apcell Infotech.

5. Payment Terms

Payment terms are specified in individual service agreements or proposals. General terms include:

• Payments are due as per the agreed schedule in the proposal
• Late payments may incur interest charges
• All prices are in INR unless otherwise stated
• Taxes and duties are the responsibility of the client
• Refunds are provided only as specified in the service agreement

6. Project Timeline and Delivery

We strive to meet all agreed-upon deadlines. However, timelines may be affected by factors beyond our control, including client delays in providing necessary information or approvals. We are not liable for delays caused by circumstances beyond our reasonable control.

7. Warranties and Disclaimers

Our Warranty: We warrant that services will be performed in a professional and workmanlike manner.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APCELL INFOTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Confidentiality

We respect the confidentiality of your business information. We will not disclose confidential information to third parties without your consent, except as required by law or necessary to provide services. Both parties agree to protect confidential information for a period of 3 years after the termination of services.

10. Termination

Either party may terminate services under the following conditions:

• With 30 days' written notice for ongoing services
• Immediately for material breach of these Terms
• Immediately if the other party becomes insolvent

Upon termination, you must pay for all services rendered up to the termination date.

11. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in Gurugram, Haryana, India, in accordance with the Arbitration and Conciliation Act, 1996.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Gurugram, Haryana shall have exclusive jurisdiction over any disputes.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the updated Terms.
